Bag a Chat or Application or Applications are used interchangeably, in the document below, for all the applications and solutions developed by BitConnect Solutions. By downloading, accessing and/or using the mobile applications (the Applications) owned by BitConnect Solutions ("Bag A Chat") you signify that you have read, understand and agree to be bound by all of the terms and conditions as set forth in this Terms of Use Agreement ("Agreement"). You must have the most current version of the Applications to ensure that it is working properly. You are expected to periodically check the Applications and/or our website at www.BagAChat.com, to determine if you have the most current version of the Applications.

You Agree and Confirm

• That you will use the services, solutions or applications provided by M/s. BitConnect Solutions, its affiliates, consultants and contracted companies, for lawful purposes only and comply with all applicable laws and regulations while using the Site or Applications and transacting on the Site or Applications.
• You will provide authentic and true information in all instances where such information is requested from you. BitConnect Solutions reserves the right to confirm and validate the information and other details provided by you at any point of time.

Warranties Disclaimer

The Applications provided are subject to all of the terms set forth in the Mobile Application Documentation. BitConnect Solutions tries it's best to ensure a smooth service, security and usage of the applications. However, BitConnect Solutions does not warrant that:

1. The Applications are free of defects or errors.
2. That your data may not be lost/become inaccessible using the applications due to any defects or errors. We recommend you to keep a backup of your data stored in Bag A Chat or BitConnect Solutions' applications.
3. It's applications are completely secure
4. Its Applications will be constantly available, or available at all;

BitConnect Solutions is not associated with any instant Messengers and its affiliated companies. The Service is on the top of existing popular Messengers. In the delivery of the BagAChat Link with instant messenger, Bag A Chat solutions depend on the instant messenger behaviour. Instant messenger can make technical changes in their solution, that may result in a non-functioning or inaccurate functioning of the Bag A Chat solutions. BitConnect Solutions can therefore does not guarantee the (uninterrupted or error-free) availability of its Bag A Chat solutions and customers use these solutions at their own risk. BitConnect Solutions accepts no responsibility at all for a possible unavailability or interrupted availability of the Bag A Chat services. In case of unavailability to provide Bag A Chat solution on a instant messenger due to above reason, a money refund will be done proportionate to the remaining package of the service contract.

Sharing Content

Bag A Chat applications allows you to share the content from your mobile device to others.

You shall be solely responsible for your own shared data and the consequences of posting or publishing them. Because Bag A Chat is only acting as a repository of data, user submitted posts do not represent the views or opinions of BitConnect Solutions, and BitConnect Solutions makes no guarantees as to the validity, accuracy or legal status of any posts. While sharing the data, you reaffirm that you take responsibility that that data shared is legally compliant (copyright free, non-confidential for your organization etc.)

Performance

Bag A Chat applications' performance partly depends upon workflow of the various messengers to which connectivity is provided. Bag A Chat Applications have been successfully tested for a text message throughput of 1 message/2 seconds (approximately 50 thousand messages/day) and media/documents throughput of 3-4 files/minute ((approximately 5 thousand files/day). Beyond these rates, there may be an occasional drop of message in a rare situation. For better results (especially with large number of inbound media/documents expected on phone device) a phone device with high end internal memory (RAM) should be used to install the applications. If your message throughput is much more than the prescribed limits, it is advisable to split your services on multiple phones to cater to different requirements of inbound communication from message senders.

Limitations of Liability and Indemnification

You agree BitConnect Solutions shall not be held liable for any loss, which occurs to you due to your usage of BagAChat.com or its applications and would not claim any compensation for such.

The downloading and/or use of the Applications is entirely at your own risk and in no event shall BitConnect Solutions be liable (whether under the law of contracts, torts or otherwise) for any direct, indirect, incidental, consequential, special, exemplary, punitive or any other monetary or other damages, fees, fines, penalties or liabilities (collectively "damages") whatsoever arising out of or relating to the applications. Your sole and exclusive remedy for dissatisfaction with the applications is to stop using the applications. You agree to defend, indemnify and hold BitConnect Solutions, and its directors, employees, representatives harmless from and against any claims, actions, demands, liabilities, judgments, and settlements, including without limitation, reasonable legal fees resulting from or alleged to result from your use of the applications.

Electronic Communications

When you visit the Site or send emails to BagAChat.com, you are communicating with M/s. BitConnect Solutions electronically. You consent to receive communications from BitConnect Solutions electronically. M/s. BitConnect Solutions will communicate with you by email or by posting notices on the Site BagAChat.com. You agree that all agreements, notices, disclosures and other communications that M/s. BitConnect Solutions provide to you electronically on its website BagAChat.com satisfies any legal requirement that such communications be in writing would satisfy.

Unenforceable Provisions

If any provision of this Agreement is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of this Agreement.

Ownership of Copyright and Intellectual Property

All intellectual property to these Applications, including all Applications' material, is protected by copyright, trademark, and patent laws, and is owned exclusively by BitConnect Solutions unless otherwise stated. Intellectual property, includes, but is not limited to, computer or software code, scripts, design elements, graphics, interactive features, artwork, text communication, and any other content that may be found on or in the Applications. All trademarks, service marks and trade names are owned, registered and/or licensed (or in the process) by BitConnect Solutions. BitConnect Solutions grants to you a worldwide, non-exclusive, royalty-free, revocable license to: download the Applications to a mobile devise via a web browser; use these Applications as herein set forth; copy and store the Applications and the material on these Applications in your web browser cache memory; and print pages from the Applications for your own personal and non-commercial use. BitConnect Solutions does not grant you any other rights whatsoever in relation to the Applications or the material on the Applications. All other rights are expressly reserved by BitConnect Solutions. Some logos like Facebook or Hike etc. are trademarks and owned by respective companies. BitConnect Solutions is not associated with those companies. Such representation is used only for making usage of the applications clear.

Use and Prohibited Use Restrictions

You may use the Applications only for your own personal, non-commercial use, unless BitConnect Solutions gets into agreement with you. You are prohibited from reverse-engineering the applications. You are strictly prohibited from, and agree that you will not, adapt, edit, change, modify, transform, publish, republish, distribute, or redistribute the Applications or the material on these Applications (in any form or media) without BitConnect Solutions' prior written consent. You agree not to use any automated data collection methods, data mining, robots, automation or scraping or any data gathering methods of any kind to interact on the Applications without human interaction, unless BitConnect Solutions gets into agreement with you.

Reviews, Feedback, Submissions

• All reviews, comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered to M/s. BitConnect Solutions on or on her affiliated sites or otherwise disclosed, submitted or offered in connection with your use of this Site or Applications (collectively, the "Comments") shall become and remain the property of BitConnect Solutions. BitConnect Solutions will be entitled to use, reproduce, disclose, modify, adapt, create derivative works from, publish, display, delete and distribute any Comments you submit for any purpose whatsoever, without restriction and without compensating you in any way. BitConnect Solutions is and shall be under no obligation (1) to maintain any Comments in confidence; (2) to pay you any compensation for any Comments; or (3) to respond to any Comments.
